MINUTES OF A MEETING

OF THE BOARD OF DIRECTORS OF

RANDONNEURS USA, INC.

Held January 8, 2020

 

A meeting of the RUSA Board of Directors was convened by telephone conference and called to order by the president at 1705 PST.

The Directors in attendance were:

• Debra Banks

• Pete Dusel

• John Lee Ellis

• John Ende

• Lois Springsteen

• Tim Sullivan

• Dave Thompson

 

 

A motion was made and passed to approve the meeting minutes from December 5, 2019,

A motion was made and passed to approve the following e-votes by email: 12/18/19 - Approving Alex Bachmann to succeed David Roderick as the Ohio RBA and 12/21/19 approving Sarah Bergstrom to succeed Jake Kassen as the New England RBA.

Next on the agenda was the election of officers for 2020. John Lee Ellis moved for Dave Thompson to be President, seconded by Tim Sullivan. The motion was approved and Dave Thompson is the new President.

Dave Thompson then moved for Deb Banks to be the Vice-President seconded by John Lee Ellis and was approved.

Dave Thompson then moved for Lois Springsteen to be Treasurer, seconded by Tim Sullivan and the motion was approved.

Dave Thompson then moved for Tim Sullivan to be Secretary, seconded by Lois Springsteen and the motion was approved.

Treasurer’s report. Dave Thompson sent a financial report to the Board members prior to the meeting and there were no further comments.

American Randonneur Award. The Board then discussed each of the 11 nominees for the American Randonneur.Award. After much discussion of each nominee’s qualifications, John Ende moved to give the award to Spencer Klaassen, seconded by Deb Banks. The motion was passed.


Dave Thompson then provided updates to the insurance and permanent programs going over the various options he set forth in an email memorandum to the Board. Dave is waiting for a response from one insurance company.

John lee Ellis then provided a report on the status of the Web Team creating an online method for RBAs to submit insurance payments for events.


Tim Sullivan provided an update on the litigation. That day the Court by an Associate Judge, denied Starr’s motions for summary judgment. Starr has 7 working days to appeal the decision to the District Judge. In the interim RUSA’s attorneys will try to get the parties in both cases to a global mediation.

The meeting was adjourned at 1923 PST.
