MINUTES OF A SPECIAL MEETING

OF THE BOARD OF DIRECTORS OF

RANDONNEURS USA, INC.

Held March 23, 2020

A special meeting of the RUSA Board of Directors was convened by telephone conference and called to order by the president at 15:04 PDT.

The Directors in attendance were:

• Debra Banks

• Pete Dusel

• John Lee Ellis

• John Ende

• Lois Springsteen

• Tim Sullivan

• Dave Thompson

The purpose of the meeting was to discuss the suspension of all RUSA events in light of the Covid-19 pandemic.

Dave noted that many foreign randonneuring organizations have shut down events in their countries. RUSA has taken the position of allowing RBAs to determine whether to continue to hold events based on local conditions and the directives from local authorities.

Cap’n expressed concern with the accelerating curve of the spread of the virus in the USA and felt uncomfortable with riders traveling to other regions.

There was discussion of contacting the RBAs who still have events scheduled in April and seeking to persuade them to suspend their events.

The Board reviewed how many events have been canceled or suspended.

After much discussion it was agreed that the Board members will contact RBAs who still have events scheduled in April to say that RUSA is suspending events until April 30, 2020. At that time RUSA will reassess the situation.

Dave will circulate a template for the conversation with the RBAs and will provide each Board member with then names of RBAs to contact.
